User Agreement

NTDEX Global Platform (hereinafter referred to as "Platform" or "We") allows its users (hereinafter referred to as "Users" or "You") to trade digital assets (as defined in this Agreement) and provide other services related to digital assets (hereinafter referred to as "Services"). For convenience, you and we are hereby collectively referred to as the "Parties" and individually as the "Party".
You understand that this website (as defined in this agreement) is only used as a platform for you to use the service. You should carefully evaluate the authenticity, legality and effectiveness of relevant digital assets and/or information, and bear the responsibilities and losses that may arise therefrom.
Any opinion, information, discussion, analysis, price and other information displayed on this platform shall not be interpreted as investment advice. We will not be responsible for any loss, including but not limited to any profit loss, directly or indirectly caused by relying on the above information.
Unless you have an account on the platform (as defined in this Agreement), you shall not use the services to be provided to users with an account.
1.1 Risk
By using the services provided by the platform, you accept the risks associated with such services. We emphasize that:
(i) The digital assets provided on the platform may not be issued by us, financial institutions or other legal entities;
(ii) The digital asset market is new, uncertain and may not grow;
(iii) Digital assets are highly speculative in nature and not as mature as other asset classes;
(iv) The digital assets fluctuate greatly, the transaction continues, and the price fluctuation is unlimited;
(v) Digital asset trading may cause partial or total loss of your capital;
(vi) The acts of market makers or government and other third parties may have a significant impact on digital assets;
(vii) Digital asset trading is not suitable for the vast majority of people;
(viii) Despite our efforts to comply with all applicable laws, rules and regulations, we may not be regulated in all jurisdictions in which we operate; In addition to the above risks, there may be other unpredictable or derivative risks.
Before using the service, please consider your own financial situation and seek independent legal, financial, tax, accounting or other advice when necessary.
1.2 Restricted Jurisdictions
The list of restricted jurisdictions may change and vary depending on our policies and the services we provide to specific jurisdictions. We may not notify you of such changes. You need to check the latest information in the platform or this agreement to understand such changes.
2. General Conditions
The user agreement (hereinafter referred to as "this agreement" or "these terms and conditions") updated from time to time includes this user agreement, privacy policy, Fiat rules, KYC ("Know Your Customer") and AML policies, the terms and conditions of the user agreement or each service, and any other guidelines, rules, statements and instructions published from time to time on the platform.
Before using the platform to access services, you should carefully read this agreement and seek independent legal advice when necessary. If you do not agree or understand this agreement, please immediately cancel your account and stop using the service. By clicking "I agree", creating an account, obtaining your account identification number and password, logging into your account or using the service, you will be deemed to have understood and fully agreed to this agreement and be bound by this agreement (including any modification of this agreement from time to time).
All headings in this Agreement are for convenience only and are not intended to expand or limit the content or scope of the terms and conditions of this Agreement. The information on the platform and all information in this agreement are provided "as is" and "on an available basis", and we make no further commitment. The headings in this Agreement are for convenience only and do not affect the meaning or interpretation of any provision of this Agreement.
3. Definitions
"Account" refers to the account you created on the platform.
"This agreement" refers to the GEDEX platform user agreement.
"AML/CTF" means Anti Money Laundering/Anti Terrorist Financing.
"Business Day" means a day other than a Saturday, Sunday or a public holiday published in the Gazette on which banks are open for business and transactions.
"Purchase Price" has the meaning set forth in Section 7.1.
"Compensation" has the meaning given to it in Clause 15.1.
"Processing Your Account" has the meaning given to it in Clause 4.4.
"Digital assets" refer to the digital value supported by the platform that can be digitally transmitted, stored and traded.
"Dispute" has the meaning given to it in Clause 17.11.
"Exchange Rate" has the meaning given to it in Clause 7.1.
"Bifurcation" has the meaning given to it in Clause 6.2.
"International Court of Arbitration of the International Chamber of Commerce" has the meaning given to it in Clause 17.11.
"Identity Information" has the meaning set forth in Section 9.2.
"Intellectual Property" has the meaning set forth in Article 11.
"Internal Resolution" has the meaning given to it in Clause 17.11.
"Login Details" has the meaning given to it in Clause 4.3.
"Miner's Fee" has the meaning given to it in Clause 6.1.
"Party" refers to a party to this Agreement, namely the user and platform.
"Platform" refers to GEDEX global platform.
"Pre Closing Period" has the meaning given to it in Clause 4.4.
"Registration Data" has the meaning set forth in Section 4.1.
"Sanctioned Country" has the meaning given to it in Article 17.8.
"Sanctioned Person" has the meaning given to it in Clause 17.8.
"Selling Price" has the meaning given to it in Clause 7.1.
"Services" refer to products and services provided to users through the platform.
"Transaction Fee" has the meaning set forth in Article 8.
"Transaction" has the meaning set forth in Section 4.2.
"User" refers to the user of GEDEX global platform.
"Website" refers to a website or other gateway that users can access the platform to use services, such as mobile applications.
4. Accounts
4.1 Account Creation
To qualify for creating an account, you confirm that you are a natural person, legal person or any other entity that has the right to enter into this Agreement and use the Services in accordance with all applicable laws, rules and regulations. You may not create an account for the purpose of violating any applicable laws, rules and regulations and/or damaging the services provided on the platform.
If you are not qualified to create an account, we reserve the right to refuse to register your account. If you have already created an account, we have the right to suspend, terminate and/or close your account without further notice, and may require you to be responsible for any adverse consequences arising therefrom. We reserve the right to reject any application for account creation (including but not limited to accounts related to political and/or public figures) or comply with AML/CTF laws and regulations at our discretion.
To create an account, you should provide:
(i) A valid email address;
(ii) Mobile phone number;
(iii) your true name;
(iv) identification documents; And any other information we need to create and maintain your account;
The above are collectively referred to as "registration data".
If your mobile number needs to be registered with your real name, you should complete the registration procedure before providing us with your mobile number. You shall be responsible for and bear any direct or indirect losses and any adverse consequences arising from the failure to register.
It is your responsibility to update the registration data and ensure that it is always accurate. You shall be responsible for the authenticity, integrity and accuracy of your registration data, and bear any direct or indirect losses and adverse consequences arising from the inaccuracy of your registration data.
After we verify and approve the account you have created, you will receive an account ID and password through which you can use the service. You agree to receive emails and/or messages from us related to platform management and operation.
4.2 Account use
You have the right to use your account to access the platform to use services, including:
(i) Browse the real-time quotation and transaction information of digital asset products on this website;
(ii) Submit digital asset trading instructions, whether trading instructions or other instructions (the "Transaction");
(iii) Completion of the Transaction;
(iv) View the information provided to users through your account;
(v) Participate in the activities organized by us according to the relevant rules of the activity; And/or
(vi) Other services we may provide to you from time to time.
4.3 Account security
You are responsible for the login details related to your account, including your user name, password, mobile phone number, transaction password and verification code received through your mobile phone (referred to as "login details"). If your login details are stolen and/or your account is accessed by an unauthorized third party, you can immediately notify us to suspend your account. Upon receipt of such request, we will take action on your request within a reasonable period of time. However, we will not be responsible for any consequences until your account is suspended.
Except with our consent, you may not transfer your account to any other person, whether by donation, loan, lease, transfer or otherwise.
If any digital asset, password or private key is lost, stolen, faulty, damaged or otherwise inaccessible, we are not obliged to issue any replacement digital asset.
4.4 Suspension, Termination or Closure
In the following cases, we have the right to suspend the provision of some or all services to your account, freeze the digital assets in your account, terminate your account, close your account and/or notify the relevant authorities ("processing your account"):
(i) To protect our reputation, we reasonably believe it is necessary to do so;
(ii) You face any pending litigation, investigation or government procedure when using your account, and/or we believe that the risk of your account activities breaking the law or regulations is increased;
(iii) You are from a restricted jurisdiction as described in Clause 1.2;
(iv) You are not eligible to create an account in accordance with Clause 4.1;
(v) You are the person who created the account on behalf of the legal entity, but you are not the authorized person who acts on behalf of the legal entity;
(vi) We judge that you are not suitable for using the service;
(vii) You are not the person described in your account registration data;
(viii) You have not logged into your account for 1 consecutive year;
(ix) You use your account to engage in illegal or illegal activities, such as money laundering and bribery;
(x) You use your account to engage in market manipulation, improper transactions or other illegal transactions, such as money laundering, smuggling and commercial bribery; And/or
(xi) You have violated this Agreement or any other applicable laws, rules and regulations.
Notwithstanding the above, we have the right to close and terminate your account by giving you 7 working days' notice in advance. After that, you will have 7 working days to take any necessary action, including cancelling any order or closing the position ("closing the previous period"). At the end of the closing period, we have the right to cancel your instructions, close positions and return the digital assets in your account to you. Notwithstanding anything in this Agreement, if your account has been closed in accordance with this clause, all remaining account balances (including fees and liabilities owed to us) shall be immediately paid to us.
We will not be responsible for any adverse consequences and/or losses related to our handling of your account.
If the account is suspended or closed due to fraud investigation, illegal or breach of this agreement investigation, we will take full custody of the digital assets, funds and user information/data that may be transferred to government departments.
5. Deposit, custody, withdrawal and transfer
The Services are provided only for digital assets supported by us and may change from time to time. Under no circumstances should you use your account to store, send, request or receive digital assets in any form that we do not support. If you try to use your account for digital assets that we do not support, we will not assume any responsibility or obligation. We provide services to you, not as a buyer or seller in any digital asset transaction. Services do not include the deposit, withdrawal or custody of any legal tender.
All digital assets in your account are held by us in custody. This means:
(i) The ownership of digital assets shall belong to you and will not be transferred to us. Since your account has digital assets, you should bear all the risk of loss of digital assets. We will not claim or treat the assets in the account as belonging to us;
(ii) We may not grant a security interest in the digital assets held in your account;
(iii) We will not sell, transfer, lend, mortgage or otherwise transfer the assets in your account except as required by the relevant competent authority or otherwise specified in this Agreement, unless you instruct or a court of competent jurisdiction compels us to do so;
(iv) You control the digital assets in your account. At any time, according to interruption, downtime and other applicable policies, you can withdraw your digital assets by sending them to other blockchain addresses controlled by you or a third party; and
(v) For

This platform is a platform for users to conduct digital asset transactions and provide related services (hereinafter referred to as "this service" or "service"). For the convenience of expression, this platform is collectively referred to as "we" or other first person addresses in this agreement. We provide you with basic member services through this platform account. To register as a member and use our member services, you need to fill in and provide the following information when applying for registration:

This information can help us verify whether you are qualified to register as a member of this platform, including but not limited to your name, your residence address, other certificates issued by your country or government that can prove your identity information, the numbers involved and all other information that can help us verify your identity (hereinafter collectively referred to as "identity information"). According to the laws and regulations of different jurisdictions, the information we collect for users from different countries or regions may vary. Individual users: nationality, full legal name (including former name and local language name), ID number, e-mail address, telephone number, social security number ("SSN"), passport number or any government issued ID card number, date of birth, identity certificate (such as passport, driver's license or government issued identity certificate).
Institutional users: legal name of the company (including legal name in local language), registration information, business telephone number, personal information of authorized representatives and authorized users, main business location, personal information of all beneficial owners), identity documents of shareholders/beneficial owners (passports or government issued identity cards), corporate structure, documents related to the establishment of the company, resolutions of the board of directors, capital source declaration Risk and compliance control instructions and other information or documents required by the platform.
(2) Service information. This information helps us to contact you and smoothly provide you with different modes of digital asset transaction services, including but not limited to your personal identity information, contact information, transaction information, and your debit card information and/or other account information (hereinafter collectively referred to as "service information") At the same time, please understand that our services to you are constantly updated and developed. If you choose to use other services not covered in the above description, and we need to collect your additional information based on this service, we will explain the scope and purpose of information collection to you through page prompts, interaction processes, agreement agreements, pop-up prompts, etc., and obtain your consent If you only need to use the browsing service, you do not need to register as our member and provide the above information 2. Other registration services
Real name authentication: after you register and log in, you need to enter the "personal center" to complete real name authentication in identity authentication. During the process of using real name authentication, you need to provide your real name, ID number or passport number to the platform Advanced authentication: When your transaction amount in this platform exceeds a certain limit, the platform will require you to perform advanced authentication in order to maintain your asset security. In addition to real name authentication information, you recognize the platform's advanced authentication of "face recognition", which involves the platform's collection of your relevant video streams or face images.
Account information display: If you have an account on this platform, we may display your above personal information in the service (real name authentication only displays the results of whether the authentication is passed), as well as the operations you perform in the products and services associated with the platform account, including centralized display of your personal information and transaction orders through this platform account. We will respect your choice of platform account settings.
（2） Security management service and service information push service
When you use the services provided by the platform or access the platform, in order to ensure your transaction security and the safe and stable operation of the service, we need to automatically receive and record your web browser information, the device information (IDFA, operating system, device model, device manufacturer, system version, Android ID, IMEI, MAC address, etc.) you use to log in your account, the IP address and records on the web page you request to visit Location, network environment, device fingerprint information, service log information, software information, location information, etc. Please note that separate equipment information is information that cannot identify a specific natural person. If we combine this kind of non personal information with other information to identify the identity of a specific natural person, or use it with personal information, then during the combined use, this kind of non personal information will be considered as personal information, and unless we obtain your authorization or otherwise specified by laws and regulations, we will anonymize and de identify this kind of information.
In order to provide you with more convenient and personalized information display and push services, we may, in the future, extract your preference features based on your device information and your browsing and use information on this platform or client, and produce indirect crowd portraits based on feature tags for display, push information and possible commercial advertising. If you do not agree to receive such push information or withdraw your consent to collect personal information, you can contact us according to the contact information provided in this policy.

If you do not want to accept the commercial advertisement sent to you by us, you can unsubscribe or close it by SMS prompt or other methods provided by us. We collect relevant data about your transactions on this platform, including but not limited to transaction records. If you need to query your order transaction records, you can query your personal transaction details in the platform "Order Management", including: counterparty nickname, order time, order number, transaction information, digital asset type and quantity, etc.
（4） Customer service and dispute settlement
When you contact us or apply for handling after-sales and dispute disputes during sales, we need you to provide necessary personal information to verify your membership in order to ensure the security of your account and system. In order to contact you, help you solve the problem as soon as possible, or record the solution and results of related problems, we may save your communication records and related contents (including account information, order information, other information you provide to prove relevant facts, or contact information you leave). If you consult, complain or provide suggestions for specific orders, We will use your account information and order information.
In order to provide services and improve the reasonable needs of service quality, we may also use your other information, including the relevant information you provided when you contacted customer service, and the questionnaire reply information you sent to us when you participated in the questionnaire survey.
（5） Other
1. If the information you provide contains personal information of other users, you need to ensure that you have obtained legal authorization before providing such personal information to the platform. If it involves children's personal information, you need to obtain the consent of the corresponding child guardian before the release. Under the above circumstances, the guardian has the right to contact us through Article 9 of this policy to request correction or deletion of the content involving children's personal information.
2. If we use the information for other purposes not specified in this policy, or use the information collected for specific purposes for other purposes, or we take the initiative to obtain your personal information from a third party, we will obtain your consent in advance.

3. Exceptions to obtaining authorization
You fully understand and agree that we do not need your authorization and consent to collect and use your personal information under the following circumstances, and we may not respond to your request for correction/modification, deletion, cancellation, withdrawal of consent and information request:
(1) Related to national security and national defense security;
(2) Related to public safety, public health and major public interests;
(3) Related to judicial or administrative law enforcement such as criminal investigation, prosecution, trial and judgment enforcement;
(4) In order to protect your or other personal life, property and other major legitimate rights and interests, but it is difficult to obtain my consent;

(7) Necessary for signing and performing relevant agreements or other written documents with you;
(8) It is necessary to maintain the safe and stable operation of the products and/or services provided, such as finding and handling the failures of products and/or services;
(9) Necessary for legal news reporting;
(10) Academic research institutions are necessary to carry out statistics or academic research based on the public interest, and conduct de identification of the personal information contained in the results when providing academic research or described results;
(11) Other circumstances stipulated by laws and regulations.
